Terms of engagement

Framework terms.

Effective: 1 January 2026 · Governs all engagements unless superseded by a signed engagement letter.

1. The engagement

Each engagement between ClearBooks Accounting Consultants FZ-LLC ("ClearBooks", "we") and you ("the Client") is defined by a signed engagement letter that sets out the scope, fees, timeline, and deliverables. These framework terms apply to all engagements except where the engagement letter explicitly says otherwise.

2. Fees

All fees are denominated in United Arab Emirates Dirhams (AED) and are exclusive of 5% VAT unless the engagement letter states a VAT-inclusive fee. Fixed-fee engagements are payable on completion of defined deliverables; retainer engagements are invoiced monthly in advance. Payment terms are 14 days from invoice date.

3. Scope and variations

Work outside the engaged scope is quoted separately. We do not charge for courtesy queries of fewer than 15 minutes — we track these so the relationship remains reasonable on both sides.

4. Responsibility for information

You are responsible for the completeness and accuracy of the underlying financial records and supporting documentation. We are responsible for applying professional judgment, preparing deliverables in accordance with applicable standards, and bringing matters to your attention that require your decision.

5. Professional independence

Audit engagements are subject to our independence framework. We cannot audit and do any of the following for the same entity in the same financial year: bookkeeping, internal audit, valuation, or taxation advocacy on matters subject to audit.

6. Liability

Our aggregate liability under each engagement is limited to the lower of (a) three times the fees paid under that engagement in the 12 months preceding the claim, and (b) AED 5,000,000. This limit does not apply to liability for fraud, wilful default, or liability that cannot be excluded by UAE law.

7. Confidentiality

We treat all information received in the course of an engagement as confidential. Exceptions apply only as required by law (including AML/CFT reporting obligations) or with your explicit permission.

8. Governing law

These terms are governed by the laws of the United Arab Emirates, applied as practised in the Emirate of Dubai. Disputes not resolved through good-faith discussion fall to the exclusive jurisdiction of the Dubai Courts.
